These Terms of Use ("Terms") govern your access to and use of the Bloomingle website, applications, SaaS products, software, AI tools, automation services, APIs, chatbots, integrations, and related services (collectively, the "Services") provided by Bloomingle ("Bloomingle", "we", "us", or "our").
By accessing, registering for, purchasing, or using any of our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
1. About Bloomingle
Bloomingle provides software development, SaaS products, AI-powered tools, automation solutions, integrations, chatbots, APIs, and related technology services.
Different Bloomingle Services may have additional product-specific terms, pricing, documentation, or conditions. Where such additional terms apply, they will form part of your agreement with Bloomingle for that particular Service.
2. Eligibility
You must have the legal capacity to enter into a binding agreement under applicable law to use our Services.
If you use our Services on behalf of a company, organization, or other entity, you represent that you are authorized to act on behalf of that entity, "you" includes both you and that entity, and you are responsible for ensuring that the entity and its authorized users comply with these Terms.
If a particular Service has additional age or eligibility requirements, those requirements will also apply.
3. Account Registration
Certain Services may require you to create an account.
When creating an account, you agree to provide accurate and complete information, keep your account information up to date, maintain the confidentiality of your login credentials, not share your credentials with unauthorized persons, notify us promptly if you suspect unauthorized access, and accept responsibility for activity conducted through your account where reasonably attributable to your actions or failure to secure your credentials.
Bloomingle may suspend or restrict an account where we reasonably believe that the account is being misused, compromised, or used in violation of these Terms.
4. Use of the Services
Subject to these Terms and any applicable subscription or service agreement, Bloomingle grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purposes.
You may not copy, reproduce, modify, or distribute the Services except where expressly permitted; reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent such restriction is prohibited by applicable law; circumvent security or access-control mechanisms; attempt to gain unauthorized access to our systems or another user's account; use the Services to interfere with or disrupt our infrastructure; introduce malware, viruses, malicious code, or harmful content; scrape, crawl, or systematically extract data from the Services without authorization; use automated systems in a manner that places unreasonable load on our infrastructure; resell or sublicense the Services unless expressly authorized by Bloomingle; use the Services to develop a substantially competing product where such use is prohibited by applicable law or a separate agreement; or use the Services for unlawful, fraudulent, abusive, or deceptive activities.
5. Acceptable Use
You agree not to use Bloomingle Services to violate applicable laws or regulations; infringe another person's intellectual property or other rights; impersonate another person or organization; conduct fraud, scams, phishing, or other deceptive activities; distribute malware or malicious software; facilitate unauthorized access to systems or accounts; harass, threaten, or abuse others; process information that you are not legally authorized to process; generate or distribute unlawful content; circumvent restrictions imposed by third-party platforms; or conduct activities that could reasonably cause significant harm to Bloomingle, its users, third parties, or infrastructure.
Bloomingle may investigate suspected violations and may take reasonable action, including restricting or terminating access.
6. User Content
Some Services allow you to upload, submit, transmit, store, or otherwise process content or information ("User Content").
You retain ownership of your User Content, subject to the rights necessary for Bloomingle to provide the Services.
You represent and warrant that you have the necessary rights, permissions, and authority to provide the User Content to Bloomingle; your User Content does not unlawfully infringe the rights of another person; your use of the Services to process the User Content complies with applicable law; and you have obtained any necessary notices, consents, permissions, or authorizations required for such processing.
You grant Bloomingle a limited right to host, store, process, transmit, reproduce, and otherwise use User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the applicable Services, subject to our Privacy Policy and any applicable agreement.
7. Business Customer Data
If you use Bloomingle on behalf of a business or organization, you are responsible for determining what information is submitted to the Service, whether you are legally permitted to submit that information, whether required notices and consents have been obtained, which individuals are authorized to access the Service, and how information should be retained, exported, or deleted.
Bloomingle may process such information according to your instructions and the applicable service agreement.
Where required, Bloomingle and the business customer may enter into a separate data processing or similar agreement.
8. AI-Powered Services
Some Bloomingle Services may use artificial intelligence, machine learning, large language models, OCR, automated workflows, or other AI technologies.
AI-generated or automated output may not always be accurate, complete, current, or suitable for a particular purpose, and you are responsible for reviewing and validating important outputs before relying on them.
Bloomingle does not guarantee that AI-generated results will be factually correct, free from errors, unique, suitable for a particular business or legal purpose, produce the same result every time, or be uninterrupted or continuously available.
You should not rely solely on AI-generated output for decisions involving legal, medical, financial, safety, regulatory, or other high-impact matters without appropriate human review.
9. Third-Party Services
Bloomingle may integrate with or rely upon third-party services, platforms, APIs, software, messaging providers, payment providers, cloud infrastructure, AI providers, accounting systems, or other external services.
Your use of such third-party services may be subject to their own terms and privacy policies.
Bloomingle does not control and is not responsible for availability of third-party services, changes made by third-party providers, third-party pricing, third-party policies, third-party outages, or third-party data processing practices.
If a third-party service changes, restricts, or discontinues an integration, Bloomingle may modify, suspend, or discontinue the affected functionality.
10. Messaging Platforms
Certain Bloomingle products may operate through third-party messaging platforms such as Telegram, WhatsApp, or similar services.
Your use of those platforms remains subject to the relevant platform's terms, policies, and requirements.
Bloomingle does not guarantee that a third-party messaging platform will remain available or permit a particular integration indefinitely.
You are responsible for ensuring that your messaging activity, recipient lists, messages, templates, and other communications comply with applicable laws and the policies of the relevant messaging platform.
11. Subscriptions and Paid Services
Certain Bloomingle Services may require payment through a subscription, usage-based pricing, one-time purchase, or other commercial arrangement.
Where applicable, pricing, billing frequency, usage limits, included features, and payment terms will be presented before purchase or in a separate agreement.
Unless otherwise stated, fees are payable according to the applicable billing terms, you are responsible for providing accurate billing information, taxes may apply as required by applicable law, subscription fees may change with reasonable notice, and third-party usage charges may be billed separately where applicable.
Failure to make required payments may result in suspension or termination of the relevant Service.
12. Refunds and Cancellation
Refund and cancellation terms may vary depending on the specific Service or subscription.
Unless a separate refund policy or agreement applies, payments are generally non-refundable except where required by applicable law, specifically stated in the applicable Service terms, or where Bloomingle determines otherwise at its discretion.
If you cancel a subscription, access may continue until the end of the applicable paid billing period unless otherwise stated.
13. Intellectual Property
The Services and all related intellectual property are owned by Bloomingle or its licensors.
This includes, where applicable, software, source code, object code, APIs, interfaces, website design, logos, branding, trademarks, documentation, workflows, templates, product designs, databases, technology, system architecture, and proprietary processes.
Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you.
You may not use Bloomingle's name, trademarks, logos, or branding without prior written permission, except as permitted by applicable law.
14. Feedback
If you provide suggestions, ideas, recommendations, feature requests, or other feedback regarding Bloomingle Services, you agree that Bloomingle may use such feedback without restriction or compensation to you.
This does not transfer ownership of your confidential information or User Content to Bloomingle.
15. Free Trials and Beta Services
Bloomingle may offer free trials, beta features, experimental products, or early-access functionality.
Such Services may have limited functionality, contain bugs or errors, be changed or discontinued at any time, have limited support, or be subject to additional terms.
Unless otherwise stated, beta and experimental Services are provided on an "as is" and "as available" basis.
16. Service Availability
We aim to provide reliable Services but do not guarantee that the Services will always be available, uninterrupted, error-free, secure against every possible threat, or compatible with every device or software environment.
We may temporarily suspend Services for maintenance, security updates, infrastructure changes, technical problems, emergency situations, third-party service failures, or legal or regulatory requirements.
Where reasonably practical, we may provide advance notice of planned maintenance.
17. Modifications to Services
Bloomingle may modify, update, add, remove, or discontinue features from time to time.
We may also introduce new features or impose reasonable technical limitations to maintain security, performance, or reliability.
Where a material change substantially affects a paid Service, we may provide reasonable notice where appropriate.
18. Privacy
Your use of the Services is also governed by our Privacy Policy.
Our Privacy Policy explains how Bloomingle collects, uses, stores, shares, and protects personal information.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
19. Confidentiality
If you provide confidential business, technical, commercial, or other non-public information to Bloomingle, we will use reasonable measures to protect such information and will use it only as necessary to provide the applicable Services, subject to applicable agreements and law.
Confidentiality obligations may be further defined in a separate agreement between Bloomingle and a customer.
Information that is publicly available, independently developed, already lawfully known, or required to be disclosed by law may not be considered confidential information for these purposes.
20. Security
You are responsible for maintaining appropriate security of your account, credentials, devices, integrations, and systems connected to Bloomingle.
You must promptly notify Bloomingle if you become aware of unauthorized access, suspected credential compromise, or a security incident involving your account.
Bloomingle will maintain reasonable technical and organizational measures appropriate to the nature of the Services, however, no system can be guaranteed to be completely secure.
21. Suspension and Termination
Bloomingle may suspend or terminate access to all or part of the Services where reasonably necessary, including if you violate these Terms, fail to pay applicable fees, your use creates a security or operational risk, your use is unlawful or fraudulent, you attempt to abuse or circumvent Service restrictions, required by law or a competent authority, a third-party service necessary for the Service becomes unavailable, or we discontinue the relevant Service.
You may stop using the Services at any time.
Upon termination, your right to use the applicable Services will end.
Certain provisions, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination, will continue to apply.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Bloomingle does not make warranties that the Services will be completely accurate, uninterrupted, error-free, free of harmful components, suitable for every particular purpose, available at all times, or compatible with every third-party service.
We do not guarantee that information or outputs generated through the Services will always be accurate or complete.
You are responsible for determining whether a Service is appropriate for your intended use.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Bloomingle and its directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services.
This may include loss of profits, revenue, business opportunities, data, goodwill, business interruption, or expected savings.
To the maximum extent permitted by applicable law, Bloomingle's aggregate liability arising out of or relating to a particular paid Service will not exceed the amount actually paid by you to Bloomingle for that Service during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
24. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Bloomingle and its directors, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from your violation of these Terms; your unlawful use of the Services; your User Content; your infringement of another person's rights; your violation of applicable laws or regulations; your unauthorized use of third-party information or services; or your failure to obtain required permissions or consents.
This provision does not apply to the extent a claim results directly from Bloomingle's own unlawful conduct or obligations that cannot legally be transferred to you.
25. Force Majeure
Bloomingle will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, government actions, internet or telecommunications failures, cloud infrastructure outages, power failures, cyberattacks, third-party service failures, labor disputes, or other events beyond reasonable control.
26. Governing Law
These Terms shall be governed by the laws of India.
Subject to applicable law, disputes arising from or relating to these Terms or the Services shall be subject to the jurisdiction of the courts having appropriate jurisdiction in Delhi, India.
27. Dispute Resolution
Before initiating formal legal proceedings, you agree to provide Bloomingle with a reasonable opportunity to understand and attempt to resolve the dispute.
Nothing in this section prevents either party from seeking urgent or legally available relief where necessary.
Where Bloomingle and a business customer have entered into a separate agreement containing dispute-resolution provisions, those provisions will apply to the extent of any conflict.
28. Changes to These Terms
Bloomingle may update these Terms from time to time.
When we make material changes, we may provide notice through the website, application, email, or other reasonable means.
The updated Terms will become effective on the date specified in the revised Terms.
Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
29. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
30. No Waiver
Failure by Bloomingle to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.
31. Entire Agreement
These Terms, together with the Privacy Policy and any applicable product-specific terms, subscription terms, order forms, service agreements, or other written agreements between you and Bloomingle, constitute the agreement governing your use of the applicable Services.
If there is a conflict between these Terms and a separately executed agreement, the separately executed agreement will prevail to the extent of the conflict.
